TpiPay Financial Technology Private Limited
This document is an electronic record in terms of the Information Technology Act, 2000, amendments thereof from time to time and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
Please read these Terms and Conditions carefully before registering, accessing or using the TpiPay Services (defined below). These Terms and Conditions constitute a legal contract (“Agreement”) between You and TpiPay Financial Technology Private Limited (“TpiPay”), having its registered office at W-303 3rd Floor 22 Ulsoor Road Sunrise Chambers Bengaluru Urban Karnataka-560042. India. You agree and acknowledge that You have read the terms and conditions set forth below. If You do not agree to these Terms and Conditions or do not wish to be bound by them, You may not use the Services and/or must immediately terminate the Services and/or uninstall the mobile application.
We may amend these Terms and Conditions at any time by posting an updated version on the TpiPay website(s) and TpiPay App(s). The updated version shall take effect immediately upon posting. It is Your responsibility to review these Terms and Conditions periodically for updates or changes. Your continued use of the TpiPay App following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms and Conditions, We grant You a personal, non-exclusive, non-transferable, limited privilege to access and avail the Services.
USING THE TPIPAY APP INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THEM CAREFULLY BEFORE PROCEEDING. By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by TpiPay Policies (including but not limited to the Privacy Policy) available on the TpiPay website(s) and TpiPay App(s) as amended from time to time.
1. Definitions
"We", "Us", "Our" – shall refer to TpiPay Financial Technology Private Limited and its affiliates.
"You", "Your", "Yourself", "TpiPay User" – refers to any non-registered individual or corporate body, or registered user of TpiPay, including but not limited to TpiPay customers or Merchants.
"TpiPay App" – The mobile application(s) hosted by TpiPay for providing TpiPay Services to its users, including merchants and service providers, and also includes any and all services where TpiPay acts as an Intermediary.
"TpiPay Website" – Shall refer to [www.tpipay.com], which is registered by TpiPay and used as a medium to communicate and inform users of services provided by TpiPay, including its features, terms and conditions, and contact details.
"TpiPay Entities" – Shall mean group companies, affiliates, associates and subsidiaries of TpiPay Financial Technology Private Limited.
"TpiPay Platform" – Refers to any platform owned, subscribed, or used by TpiPay Financial Technology Private Limited or any TpiPay Entities, not limited to websites, mobile applications, devices, URLs/links, notifications, chatbot, or any other communication medium used to provide services to Users.
"TpiPay Services" – Shall include all services extended or to be extended by TpiPay and TpiPay Entities, including but not limited to Pre-Paid Instruments, payment gateway services, recharges and bill payments, UPI-based payments, and other financial services as offered from time to time.
"Service Providers" – Refers to any individual or entity whose services are used by TpiPay or TpiPay Entities to provide the intended services to You through the TpiPay Platform.
"Business Partners" – Shall refer to any individual or entity with whom TpiPay or TpiPay Entities have a contractual relationship, including but not limited to Merchants, Advertisers, Deal partners, Financial institutions, and switch interface partners.
"Participating Platforms / Merchant Partners" – Websites and platforms that accept permitted TpiPay Services to process payment against products or services offered by such platforms.
"Terms of Use" / "Terms and Conditions" – Are interchangeably used and shall have the same meaning throughout this document.
2. Eligibility
By accessing TpiPay Services and TpiPay Platforms, You represent that:
- You are 18 years of age or older;
- You are capable of entering into a legally binding contract;
- You have the right, authority and capability to enter into this Agreement and abide by all its provisions;
- You are not barred or otherwise legally prohibited from accessing or using services of TpiPay or TpiPay Entities under the laws of India;
- You are not impersonating any person or entity, or falsely stating your age or affiliation. TpiPay reserves the right to terminate your access in case of any misrepresentation;
- The mandatory information and Officially Valid Document(s) (“OVD”) or document details mentioned by You are true, correct, and belong to You.
3. TpiPay Services
TpiPay and TpiPay Entities provide services via the TpiPay Platform. You further agree and acknowledge the terms of use of TpiPay Services provided on TpiPay Platform:
- TpiPay Account (“TA”) – Your account created upon sign-up/registration with TpiPay, enabling you to access TpiPay Platform, browse services, and make payments using permitted instruments.
- You can avail Recharge & Bill Payment facilities made available to TpiPay Users under the Terms of Use of such service.
- You may need to register with additional information to use Unified Payment Interface (“UPI”) and Pre-Paid Instrument (“PPI”) services.
- TpiPay allows you to store card details within a secure PCI-DSS compliant zone for use in transactions.
- TpiPay allows You to share and maintain Know Your Customer (“KYC”) details and information for underwriting purposes for financial and non-financial products.
- Merchant Partners: If You are or register as a Merchant Partner, Your KYC details provided for TpiPay Account may be used for merchant registration requirements.
TpiPay Services include but are not limited to:
- TpiPay Pre-Paid Instrument (“PPI” / “TpiPay Wallet”): Payment instruments issued by TpiPay as per Reserve Bank of India (“RBI”) directives.
- TpiPay UPI (“UPI – Unified Payment Interface”): Enables payments to merchants or persons through Your bank account using the UPI ecosystem.
- Recharge & Bill Payments (“RBP”): Enables You to pay bills or recharge accounts with listed service providers on TpiPay Platform.
- Payment Gateway Services: Facilitates payments using debit/credit cards or net banking to permissible merchants.
- Merchant Payments on TpiPay Platform: In-app service enabling access to merchant websites/applications within TpiPay and payment via TpiPay or other permitted payment instruments.
In order to avail TpiPay Services, You need a mobile, internet or other supported device that meets the compatibility requirements to access the TpiPay App and TpiPay Website, which may change from time to time. TpiPay may release updates to its application and You are required to update the TpiPay App as and when available, in order to continue availing TpiPay Services.
You understand that TpiPay may charge a fee (such as a platform fee or convenience fee), which will be displayed upfront and shall be over and above the value/amount of the respective transaction or bill payment. TpiPay shall have the right to revise such fees from time to time.
4. Sign-Up / Registration
In order to use the full spectrum of TpiPay Services, You need to register on the TpiPay App and provide Us with accurate and complete information. You are also required to keep your account, KYC details and contact information complete and updated at all times.
Once You sign-up on TpiPay, You are entitled to a TpiPay Account. You can also register with TpiPay from any third-party merchant platform subject to certain conditions and limitations available on the TpiPay website and application. Certain services may ask You for additional information and may involve creation of sub-accounts for availing such services.
The device on which You download the TpiPay App and use during registration shall become Your registered device, and device details shall be stored by Us. Upon logging into Your TpiPay Account from a different device, You will be asked to allow TpiPay to send an SMS from the new device, after which the new device becomes the registered device.
In the event Your registered phone number is transferred, surrendered, and/or deactivated for any reason, it shall be Your responsibility to inform TpiPay immediately. In case another individual intends to register using such transferred phone number, TpiPay would require time to remove or delink the details of the previous TpiPay Account holder, which may take up to two (2) years from the date of request.
5. Your Conduct on TpiPay Platform
You agree to the following obligations while using TpiPay Platform:
- Any information you provide will always be accurate, correct, and up to date.
- You shall promptly inform TpiPay of any unauthorised usage of Your TpiPay Wallet or loss of mobile device and any other circumstances which may lead to unauthorised usage of Your TpiPay Account. The responsibility for any transaction prior to such intimation will solely be on the registered User.
- You understand that TpiPay is not a party to the contract between You and any Merchant and acts only as an Intermediary under the Information Technology Act, 2000. TpiPay does not endorse any Merchant and is not liable for any deficiency in goods and/or services purchased.
- You agree that in case any amount is transferred erroneously by You to any Merchant, Participating Platform or any other person, TpiPay shall not be liable to refund such amount.
- You are responsible for maintaining the confidentiality of login information and secure access credentials associated with Your TpiPay Account. You are responsible for all activities that occur under Your account.
- Attempting to access TpiPay Platform through any means other than those provided by TpiPay is strictly prohibited and shall be deemed unauthorised access.
- You shall not use deep-links, page-scraping tools, robots, spiders, or any similar automated means to access, monitor, or copy any portion of TpiPay Platform or its content.
- You shall not probe, scan or test the vulnerability of TpiPay Platform or any connected network.
- In the event of any dispute, TpiPay records shall be binding as conclusive evidence of the transactions carried out through use of TpiPay Services.
- You shall use the TpiPay Services in good faith and in compliance with all applicable laws and regulations of India.
- You shall be solely responsible for payment of any taxes, duties or other governmental levies arising from transactions made using TpiPay Services.
- You shall ensure that TpiPay Services are not used for transactions in foreign currency, unless expressly permitted for a specific TpiPay Service.
6. Single Sign-On (SSO)
By registering and signing into Your TpiPay Account, We create a username and secure access credentials for You to access TpiPay Services on TpiPay Platform and other participating platforms. For convenience, TpiPay creates a Single Sign-On Service (T-SSO), which helps You access TpiPay Services across TpiPay Platform and other participating platforms.
You understand that T-SSO will be used to register and access TpiPay Services, and the credentials you share as part of the registration process would be owned and managed by TpiPay and will be shared with TpiPay Entities upon Your request or by accessing any TpiPay Services provided by them.
You shall not share Your T-SSO credentials with any third party, website, portal, or person over any communication medium. You understand that Your TpiPay Account can be misused due to unauthorised disclosure of T-SSO credentials.
7. Third-Party Terms and Conditions
TpiPay and TpiPay Entities may provide third-party services via TpiPay Platform. You understand that We do not own those services and You may need to accept their respective terms and conditions and share additional information in order to avail such products or services. TpiPay does not hold any liability for information collected from You by third-party websites or applications and cannot indemnify You for any third-party actions.
8. Offers and Promotions
TpiPay or TpiPay Entities may invite You to participate in any offer from time to time. Participating in such an offer is subject to Your agreement to the respective offer terms and conditions. Offers may also be provided by third parties on TpiPay Platforms and may require You to agree to the respective terms and conditions of such third parties. Offers provided to users may vary from user to user.
TpiPay reserves the right to disqualify You from any offer in case You do not meet the eligibility criteria or for any other reason, including but not limited to misuse of offer, misrepresentation, fraud or suspicious transactions, including non-compliance with applicable regulations, at TpiPay’s sole discretion without further notice.
9. Communication
TpiPay and TpiPay Entities may communicate with You on the contact information that You have provided during the course of Your engagement, including but not limited to signup, transacting or availing any third-party products or services on TpiPay Platform. We will send You communication alerts via emails, SMS, push notifications, or via other progressive technology.
You agree that there can be disruptions in communications due to factors not under Our control, including but not limited to Your phone being switched off, incorrect email address, or network interruptions. You agree not to hold TpiPay liable for non-delivery of any alert or any loss suffered due to delay, distortion or failure of communication.
You authorize TpiPay and TpiPay Entities to override DND settings to contact You over calls, SMS, emails, and any other mode of communication for any TpiPay Service or Offer(s).
10. Intellectual Property Rights
Intellectual Property Rights for the purpose of these Terms of Use shall mean and include copyrights (whether registered or not), patents, trademarks, trade names, trade dresses, house marks, collective marks, designs both industrial and layout, geographical indicators, moral rights, broadcasting rights, displaying rights, distribution rights, and all other intellectual property rights as applicable under law. All such rights shall vest absolutely in TpiPay Financial Technology Private Limited or its licensors.
All material on the TpiPay website and mobile application, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights of TpiPay, TpiPay Entities or Business Partners. You must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way without the prior written consent of the owner. Material on the TpiPay Platform is solely for Your personal, non-commercial use.
11. Use of Group Companies
You understand and agree that TpiPay and TpiPay Entities reserve the right to use the services of themselves or their group companies to provide any of the mentioned TpiPay Services to You within TpiPay Platforms.
12. Termination
You agree that TpiPay at its sole discretion may terminate Your contract without prior notice and restrict Your access to TpiPay Application if We determine that You have violated the Terms of Use. You consent that in case TpiPay suffers losses, not limited to monetary losses, due to Your actions, We can take injunctive relief or any other legal action as deemed necessary. TpiPay is not liable for any loss to You due to such termination.
13. Limitation of Liability
Financial and non-financial transactions performed by You on TpiPay Platform are always processed by You or under Your exclusive authorization.
In no event will TpiPay be liable for any indirect, consequential, incidental, special or punitive damages, including without limitation damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data or loss of other economic interests, whether in contract, negligence, tort or otherwise, arising from the use of or inability to use the Services. In any case, TpiPay’s maximum liability shall not exceed the amount paid by You for using the Services giving rise to the cause of action or Rupees One Hundred (Rs. 100), whichever is less.
14. Indemnification
You shall indemnify and hold harmless TpiPay Financial Technology Private Limited, TpiPay Entities, its owners, licensees, affiliates, subsidiaries, group companies and their respective officers, directors, agents, and employees from any claim, demand, or action including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of Your breach of these Terms of Use, Privacy Policy and other policies, or Your violation of any law, rules or regulations, or the rights of a third party (including infringement of intellectual property rights).
15. Force Majeure
A Force Majeure Event shall mean any event beyond the reasonable control of TpiPay, including but not limited to war, riots, fire, flood, acts of God, explosion, strikes, lockouts, slowdowns, prolonged shortage of energy supplies, pandemic, computer hacking, unauthorised access to computer data and storage devices, computer crashes, or acts of state, governmental, legal or regulatory actions prohibiting or impeding TpiPay Entities from performing their respective obligations under the contract.
16. Dispute, Governing Law & Jurisdiction
This Agreement and the rights and obligations thereunder shall be governed by and construed in accordance with the laws of the Republic of India. Subject to and without prejudice to amicable settlement, the courts in Bangalore, Karnataka, India shall have exclusive jurisdiction to try and adjudicate all matters arising in connection with Your use of TpiPay Services or other matters covered herein.
Disputes, differences or concerns, if any, should be raised within 30 days of the happening or non-happening of an event related to TpiPay Services, except in the case of unauthorised transactions on Your TpiPay Wallet, which shall be reported by You as soon as You identify the issue.
17. Disclaimers
As part of TpiPay’s continual innovation and improvement, We may from time to time add or remove features and functionalities, increase or decrease limits to our Services, start offering new services or stop offering old ones. Such changes may also occur due to discontinuation of any service by third-party service providers or business partners.
TpiPay and third-party partners make no warranty, express or implied, regarding the quality of Services, including but not limited to:
- that the Services will meet Your requirements;
- that the Services will be uninterrupted, timely or error-free; or
- that any products, information or material obtained by You in connection with the Services will meet Your requirements.
Except as expressly provided herein and to the full extent permitted by law, the TpiPay Services are provided “as is”, “as available” and “with all faults”. It is Your responsibility to evaluate the accuracy, completeness and usefulness of the TpiPay Services and other information provided by TpiPay. If You have a dispute with other parties, You release TpiPay (and its affiliates and officers, directors, agents, and employees) from claims, demands and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
